Chief Legal Officer

Louis Parker has more than 25 years in-house business operations legal experience in information technology and related services industries (IT). He has extensive domestic and international customer and third-party transactions, acquisitions and divestitures, planning and implementing development and sales strategies, dispute resolution, and intellectual property protection (IP) experience. His skills include innovative and fiscally responsible methods of conducting business, practical and expedient achievement of goals, problems resolution, and adapting quickly to changing business and regulatory environments.

From 1998 through October 2007, Mr. Parker served as Vice President, Legal Services and Senior Corporate Counsel for three of the core operations units of Per-Se Technologies, Inc. (“Per-Se”), now a McKesson Corporation company – PST Products, LLC, a hospital resources and patient scheduling software company, Per-Se Transaction Services, Inc., an electronic data interchange (EDI) medical claims processing, and patient statements print and mail services company, and PST Services, Inc., a healthcare accounts receivable (AR) management and outsourcing services company, which collectively generated $400 million in revenue per annum. Providing daily operational legal guidance to these entities, he developed and managed domestic and international customer and third party contracting for software products and services development, licensing and distribution, EDI and application service provider (ASP) services, value added reseller (VAR) software, hardware, e-commerce, contractor and employment agreements, disputes and litigation. In addition, he negotiated, drafted, and closed all key agreements with respect to foregoing. He also negotiated, drafted, and closed and three acquisitions and two divestitures for $76 million and participated in multiple corporate reorganizations due diligence processes and other acquisitions for in excess of $665 million and the sale of Per-Se for $1.8 billion.

Mr. Parker was Senior Vice President, Secretary, and General Counsel of National Processing Company (“NPC”), a $372 million revenue merchant credit and debit card authorization, processing, settlement subsidiary of National City Corporation, 1996 – 1998, and was Senior Vice President, Assistant Secretary, and Corporate Counsel of First Financial Management Corporation (“FFMC”) and its principal subsidiary NaBANCO, 1991 – 1996, then the nation’s largest merchant credit card and debt card company with $1.2 billion in annual revenue. He provided legal counsel to all business units’ senior management and developed and managed customer and third party contracting, IP protection, litigation, and law employment compliance of both NPC and FFMC. For both entities, he simplified contracting practices and procedures, and templates, negotiated and closed all major customer and third party agreements, including three corporate acquisitions and four acquiring bank credit card portfolios for between $3 million and $120 million each.

As Vice President of Legal Services and Assistant Secretary of Management Science America (“MSA”) and Assistant General Counsel of Dun & Bradstreet Software (“DBS”), 1982 – 1991, a $195 million revenue general ledger, accounts payable and receivables, payroll, and other business and manufacturing software and services company, Mr. Parker developed, negotiated, and closed licenses, consulting and development agreements, and distributor agreements for MSA in 13 countries, standardized and administered commercial and government licensing, professional services, software development, requests for proposal, marketing and distribution agreement policies, procedures, and templates making MSA “easy to do business with” while ensuring protection of the company’s business and legal interests. He created and directed legal awareness videos and presentations for new employees, sales personnel, and management. Legal Services consistently received the highest rating in satisfaction surveys of MSA officers, directors, and senior managers.

Mr. Parker also served as Vice President, Law and Commerce of Superior Trucking Company, a $54 million annual revenue interstate heavy and specialized carrier, 1978 – 1981, where he provided regulatory legal services, managed the tariff rates and permits department, and functioned as administrative officer.

Louis Parker received his BA in Economics from Emory University in 1967 and JD from the University of Georgia School of Law in 1970. Mr. Parker was in commercial private practice in Atlanta for eight years prior to entering in-house practice. He is admitted to the State Bar of Georgia, the US Eleventh and Fifth Circuit Courts of Appeal, the US District Court Northern District of Georgia, the Supreme Court of Georgia, and the Court of Appeals of Georgia, and served on the Georgia State Bar Committee, Computer Law 1984 – 1985.
